Effective Date: 2025-11-05
This Agreement shall take effect on the date specified above and shall apply to all users of the Fexo App.
1.1 Parties to the Agreement: This Fexo User Agreement (hereinafter "Agreement") is entered into between you (the "User") and Fexonir (the "Service Provider"), the developer and operator of the Fexo application (hereinafter "App" or "Service").
1.2 Acceptance of Terms: By downloading, installing, launching, or using the App, you acknowledge that you have carefully read, fully understood, and unconditionally agreed to all terms and provisions of this Agreement. Non-acceptance of any clause herein shall result in your immediate obligation to cease all use of the App, including but not limited to downloading and installation.
2.1 Age Requirement: The App is restricted to users who have reached the age of 17. By accessing or using the Service, you represent and warrant that you are at least 17 years old.
2.2 Age Verification: The Service Provider reserves the right to verify the User’s age at any time. In the event that the User is confirmed to be under 17, the Service Provider may immediately restrict or terminate the User’s access to the App without prior notice.
3.1 Governing Document: The collection, use, storage, and protection of the User’s personal information shall be governed by Fexonir’s Privacy Policy (hereinafter "Privacy Policy").
3.2 User Consent: Use of the App constitutes the User’s explicit consent to the terms and conditions of the Privacy Policy. The Service Provider advises the User to review the Privacy Policy periodically, as updates to the Policy may occur from time to time.
4.1 Compliance with Laws: The User shall use the App in strict compliance with applicable local, national, and international laws, regulations, and ethical standards.
4.2 Prohibited Activities: The User shall not engage in any of the following activities through the App:
· Illegal, unauthorized, or harmful acts that violate public order or good morals;
· Harassment, abuse, intimidation, or harm to other users, the Service Provider’s staff, or any third parties related to the App;
· Posting, sharing, or transmitting content that is offensive, defamatory, vulgar, or infringes upon the intellectual property rights of any third party;
· Disruption of the App’s normal operation, security systems, or functionality, including but not limited to hacking, sending unsolicited bulk messages, or using automated tools/scripts.
5.1 Ownership: All content and materials within the App, including but not limited to text, images, logos, trademarks, software code, and functional features, are either owned by the Service Provider or licensed to the Service Provider by third-party rights holders.
5.2 Restrictions on Use: Such content and materials are protected by intellectual property laws, trademark laws, and other relevant legal provisions. Without the Service Provider’s explicit written permission, the User shall not copy, distribute, modify, adapt, or create derivative works based on any part of the App’s content.
6.1 Content Responsibility
Fexo allows users to upload, post, and share photos, text, and other materials (“User-Generated Content” or “UGC”). You are solely responsible for the content you share and for ensuring that it complies with all applicable laws and this Agreement.
You agree not to post, upload, or share any content that:
· Contains or promotes violence, hate speech, or explicit sexual material;
· Infringes upon any third-party intellectual property or privacy rights;
· Includes unauthorized images or likenesses of others;
· Misleads, harasses, or harms other users; or
· Violates local, national, or international law.
6.2 Reporting and Moderation
Fexo provides tools for users to report inappropriate content and block others to manage their experience. Upon receiving a valid report, the Operator will review the issue and take appropriate action within 24 hours, which may include content removal, temporary suspension, or permanent account termination in serious cases.
6.3 Rights and License
By submitting or sharing UGC on Fexo, you grant the Operator a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, and distribute your content within the platform for purposes including community discovery, editorial highlights, and promotional materials.
You retain full ownership of your content; this license exists solely to support the functionality and visibility of your shared posts within the app ecosystem.
6.4 Removal of Content
The Operator reserves the right to remove or restrict access to any content that violates this Agreement or is deemed inappropriate, harmful, or unlawful, without prior notice.
7.1 Right to Terminate: The Service Provider may, at its sole discretion, suspend or terminate the User’s access to the App at any time, with or without prior notice, if:
· The User violates any provision of this Agreement;
· The User engages in illegal activities in connection with the App;
· The User’s use of the App poses a security risk to the App, other users, or the Service Provider’s systems.
7.2 Consequences of Termination: Upon termination of access, the User shall immediately cease all use of the App. The Service Provider shall not be liable for any losses or damages incurred by the User as a result of such suspension or termination.
8.1 Exclusion of Damages: To the maximum extent permitted by applicable law, the Service Provider shall not be liable for any indirect, incidental, special, or consequential damages arising from the User’s use of the App, including but not limited to loss of data, financial losses, or missed business opportunities.
8.2 Cap on Liability: In the event that the Service Provider is found liable for any damages under applicable law, the total liability of the Service Provider to the User shall not exceed the actual amount paid by the User for the use of the App (if any payment was made).
9.1 Right to Update: The Service Provider reserves the right to revise or update this Agreement from time to time. For material changes (including but not limited to adjustments to liability clauses or user obligations), the Service Provider shall notify the User through in-App notifications, email, or other reasonable communication channels.
9.2 Acceptance of Updates: The User’s continued use of the App after the effective date of the revised Agreement shall constitute the User’s acceptance of the updated terms. The User shall be responsible for reviewing the Agreement periodically to stay informed of any changes.
10.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Fexonir conducts its principal business operations.
10.2 Dispute Resolution: Any dispute, controversy, or claim arising out of or in connection with this Agreement or the User’s use of the App shall be resolved exclusively through binding arbitration conducted in the aforementioned jurisdiction, in accordance with the rules of the relevant arbitration institution.

Final Confirmation: By using the Fexo App, the User confirms that they have fully understood and agreed to all terms and conditions of this Agreement.
